End User Licence Agreement

This agreement covers your licence to use the UniSell software and website. It sits alongside the Terms of Service, which govern your conduct on the marketplace, and the Privacy Policy, which covers your data. If this agreement and the Terms of Service conflict, the Terms of Service take precedence.
This is a draft prepared to match what the software actually does. It is not legal advice and has not been reviewed by a lawyer. Have it reviewed before relying on it.
1. Licence granted to you
Subject to your compliance with this agreement, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to access and use UniSell for your own non-commercial use as a member of the UT Dallas community. This licence exists only while you hold an eligible, verified UT Dallas email address and your account is in good standing.
2. What you may not do
- Copy, modify, translate, or create derivative works of the software, except where that right cannot lawfully be restricted.
- Reverse engineer, decompile, or disassemble any part of the service, except to the extent applicable law expressly permits it despite this restriction.
- Sell, rent, sublicense, or otherwise transfer your access, or share your account with anyone else.
- Scrape, crawl, bulk-download, or systematically collect listings, messages, or member information, whether manually or by automated means.
- Use the service to build a competing product or dataset, or to train a machine learning model on member content.
- Circumvent, disable, or interfere with any security, rate limiting, or access control, or attempt to access data you are not authorised to see.
- Introduce malware, overload the service, or otherwise disrupt its operation or the experience of other members.
3. Your content
You keep ownership of the listings, photos, and messages you create. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that content solely for the purpose of operating the marketplace — showing your listing to other members, delivering your messages, and moderating the service. This licence ends when you delete the content or your account, except for copies retained in backups or where we must keep records for legal, dispute, or security reasons.
You are responsible for having the rights to what you upload. Do not post photos, text, or other material you do not own or have permission to use. Our copyright complaint procedure is on the contact page.
4. Our intellectual property
The UniSell name, interface, design, and underlying software remain ours or our licensors’. Nothing in this agreement transfers ownership of them to you. Third-party components included in the software remain subject to their own licences.
UniSell is not affiliated with, endorsed by, or sponsored by The University of Texas at Dallas. UTD’s names, logos, and trademarks belong to the university and are not licensed to you by this agreement.
5. Availability and changes
The service is provided on an as-available basis. We may change, suspend, or discontinue any part of it, and we may update the software at any time. We do not guarantee uptime, and we are a small team without round-the-clock monitoring.
6. Termination
You may stop using UniSell at any time and request deletion of your account. We may suspend or terminate your licence if you breach this agreement, the Terms of Service, or the marketplace rules, or where we reasonably believe it is necessary to protect other members. On termination, the licence in section 1 ends immediately; sections 3, 4, 7, and 8 survive.
7. No warranty
To the fullest extent permitted by law, the software is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.
We do not verify the accuracy of listings, the condition of items, or the identity of members beyond confirming access to a UT Dallas inbox at the moment of sign-in. We do not process payments and are not a party to any transaction between members.
8. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or losses arising from any transaction or interaction between members. Because UniSell is provided free of charge, our total aggregate liability to you is limited to the greater of the amount you paid to use the service (which is zero) or one hundred US dollars.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply only to the extent permitted, and nothing here limits liability that cannot lawfully be limited.
9. Governing law
This agreement is governed by the laws of the State of Texas, without regard to its conflict of law rules, and the state and federal courts located in Texas will have jurisdiction. Nothing here deprives you of the protection of mandatory consumer laws in your place of residence.
10. Changes to this agreement
We may update this agreement. Material changes will be reflected in the version date at the top of this page, and continued use after an update means you accept the revised agreement. If you do not accept it, stop using the service and request account deletion.
